Boston Graphic Design Studio Terms and Conditions

These Service Terms provide general information about working with Boston Graphic Design Studio LLC. Each project is governed by its accepted proposal or signed service agreement, which defines the specific scope, deliverables, fees, payment schedule, revisions, timeline, and responsibilities.

If these general terms differ from a signed agreement, the signed agreement will take precedence.

Project Scope

The services and deliverables included in each project are defined in the applicable proposal or service agreement.

Website projects may include strategy, content refinement, UI/UX design, development, implementation, or post-launch review depending on the agreed scope. The proposal will specify whether a project includes design only or both design and development.

Requests that change the approved scope, structure, creative direction, deliverables, or schedule may require a separate estimate and written approval before additional work begins.

Fees and Payment

Project fees, payment milestones, deposits, and invoice due dates are specified in the applicable proposal or service agreement.

An initial payment may be required before work is scheduled or begins. Unless otherwise stated in writing, this payment is nonrefundable once the project has been reserved or work has started.

Boston Graphic Design Studio LLC may pause work or withhold final deliverables when an invoice is overdue. Final deliverables and applicable ownership rights will be released only after all related project fees and approved expenses have been paid in full.

Revisions and Additional Work

The number and type of revisions included in a project are stated in the applicable proposal or service agreement.

Revisions generally apply to refinements of the approved direction. Requests for a different direction, additional deliverables, structural changes, new functionality, or work beyond the agreed scope will be discussed and approved in writing before proceeding.

Additional work will be quoted separately. No additional charges will be incurred without the client’s approval.

Client Responsibilities

The client is responsible for providing requested content, images, brand assets, access credentials, feedback, decisions, and approvals within the agreed timeframe.

Client-supplied materials must be accurate and legally available for use. The client is responsible for obtaining any necessary copyright, trademark, privacy, licensing, or other permissions relating to those materials.

The client is also responsible for maintaining backups of its original materials, website, and final files after delivery.

Communication and Approvals

The client must designate one primary point of contact who is authorized to provide feedback and approve project decisions.

Approvals provided through email or an agreed project-management platform will be treated as written approval.

Delayed materials, feedback, decisions, or approvals may extend the project schedule. A delayed project may be moved to the next available opening in the studio’s schedule.

Project Timeline

Project timelines are estimates based on the agreed scope, timely client participation, and receipt of all required materials.

Boston Graphic Design Studio LLC is not responsible for delays caused by missing content, delayed approvals, third-party providers, platform interruptions, technical issues outside its control, or changes requested by the client.

Work may not begin until the signed agreement, initial payment, and required project materials have been received.

Ownership and Final Deliverables

After all project fees have been paid in full, the client will receive the ownership or licensing rights to the approved final deliverables identified in the applicable agreement.

Preliminary concepts, unused designs, drafts, working files, internal methods, templates, fonts, stock assets, software, plugins, and other background or third-party materials are not transferred unless expressly included in writing.

Third-party materials remain subject to their original licensing terms.Additional ownership information is available in our Copyright Notice.

Portfolio Use

Boston Graphic Design Studio LLC may display approved final work in its portfolio, website, social media, presentations, case studies, award submissions, and other marketing materials unless otherwise agreed in writing.Confidential or unreleased work will not be displayed before its authorized launch or publication.

Confidentiality

Boston Graphic Design Studio LLC and the client will use confidential project information only for purposes related to the engagement.

Confidential information will not be shared with an unrelated third party without permission unless disclosure is required by law or reasonably necessary to complete the agreed services through an approved provider or collaborator.

Third-Party Services

Projects may involve third-party platforms, hosting providers, domains, fonts, stock assets, plugins, software, scheduling tools, or other external services.

Unless expressly included in the proposal, the client is responsible for third-party subscriptions, licenses, renewals, transaction fees, and ongoing service costs.

Boston Graphic Design Studio LLC does not control third-party pricing, policies, availability, security, updates, or service interruptions.

Project Cancellation

Either party may end a project by providing written notice according to the applicable agreement.

The client remains responsible for completed work, work in progress, approved expenses, and other amounts due through the termination date.

Payments already made are nonrefundable unless otherwise stated in writing or required by applicable law.

Eligible project materials will be released after all outstanding invoices have been paid.

No Guaranteed Business Results

Boston Graphic Design Studio LLC will provide the agreed services professionally and in accordance with the applicable project scope.

Specific search rankings, website traffic, leads, sales, conversions, revenue, or other business results cannot be guaranteed. Results may be affected by the client’s services, content, marketing, competition, third-party platforms, and changes made after delivery.

Limitation of Responsibility

To the extent permitted by applicable law and the signed agreement, Boston Graphic Design Studio LLC is not responsible for indirect or consequential losses, lost profits, third-party products or services, or changes made to the work after delivery.

Any project-specific warranties, liability limits, indemnification obligations, and dispute procedures are governed by the applicable signed agreement.

Governing Agreement

The accepted proposal and signed service agreement represent the controlling terms for each project.

These general Service Terms do not replace or modify an existing signed agreement. Changes to an active project must be approved in writing by both parties.

Projects are governed by the laws and jurisdiction identified in the applicable agreement.
